Alcatel, Lucent Announce Amendment and Extension of Consent Solicitation
Trans Atlantic telecom equipment makers, Alcatel and Lucent have amended their joint solicitation statement/prospectus, dated November 14, 2006. Under the amended terms, Lucent will pay a one-time consent fee only to holders of its 2.75 per cent Series A Convertible Senior Debentures due 2023 and 2.75 per cent Series B Convertible Senior Debentures due 2023 who consent to the terms of the joint consent solicitation. For each USD 1,000 in principal amount of each series of debentures for which consents are received, consenting holders will receive the product of USD 7.50 multiplied by a fraction, the numerator of which is the aggregate principal amount of debentures of each series outstanding on the expiration date, as defined below, and the denominator of which is the aggregate principal amount of debentures of each series for which Alcatel and Lucent received and accepted consents, the companies stated.
